The Juniper Companies, LLC (“Juniper”, “we” or “us”) takes the privacy of its customers very seriously and wants you to feel comfortable whenever you visit our website, access our online programs, or participate in our online offerings. For more information please visit the Juniper Privacy Policy.

This document is an agreement between you and Juniper that describes the terms of use (“TOU”) subject to which you may access and use the content and services offered on the websites operated by Juniper or its affiliates, including but not limited to https://divorcesquad.com (the “Juniper Sites”). The services and tools offered on some Juniper Sites may be subject to additional terms and conditions described herein, on a Juniper Site, or provided with such services or tools. YOU ACKNOWLEDGE AND AGREE THAT BY BROWSING OR USING THE CONTENT, MATERIALS AND TOOLS OFFERED BY THE JUNIPER SITES OR THROUGH THE PLATFORM, YOU HAVE AGREED TO BE BOUND BY THESE TERMS OF USE AND ANY ADDITIONAL TERMS THAT MAY APPLY.

Please note that Juniper reserves the right to revise these TOU at any time by posting an update to this page. Your continued use of the Juniper Sites or the Platform following the posting of changes to these TOU will mean you accept those changes. Juniper reserves the right, in its sole discretion, to determine if you have violated these TOU, and to take any action it deems appropriate. You acknowledge that Juniper shall have the right to terminate your access to the Juniper Sites or the Platform for violations of any of these terms, including infringement of copyright.

Personal, Non-Commercial Use:  The Juniper Sites are made available for your personal, non-commercial use only. Except as otherwise provided by specific terms governing a service, product or other information, you may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any of the information, tools, products, or services obtained from the Juniper Sites. COPYING OR REPRODUCTION OF CONTENT OR FUNCTIONALITY TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED.

Platform:  Juniper provides a platform used by service providers (“Providers”) as well as prospective clients (“Clients”). Providers and Clients are referred to collectively as “Site Users,” in these TOU.  The Juniper platform: (a) provides Clients with informational content regarding divorce and related issues, and access to a network of Providers having experience in a variety of related specialties; (b) allows Providers to advertise their professional expertise (“Networking Services”) to Clients to facilitate an aspect of the Clients’ divorce process; and (c) allows Clients to directly initiate contact with such Providers (collectively, the “Platform”). The Platform is subject to change at any time in Juniper’s sole discretion. Neither the Platform, Juniper Sites nor Juniper refers or recommends Providers, initiates a connection between the Providers and Clients, nor engages the Providers to perform services for the Client.

Site Users:  In order to access certain Platform functionality, Site Users may be required to register with Juniper by providing their name, e-mail address payment information, if applicable and other information related to Site User’s use of the Platform (“Registration Information”). Subject to their compliance with the TOU, Juniper grants Site Users a limited, non-exclusive license to utilize the Platform so long as: (i) they are eighteen (18) years of age or older; and (ii) they are located within the United States. Juniper is under no obligation to grant such license to any particular Site User. Site Users must provide and maintain complete, current, and accurate Registration Information at all times in order to access and use the Platform.  Site Users may have the opportunity to create a username (or use their email address) and a password to access or use the Platform (the “Account Information”). Site Users are responsible for maintaining the confidentiality of their Account Information, if any, and, accordingly, will be fully responsible for all activities that occur utilizing their Account Information. Site Users agree to immediately notify Juniper of any unauthorized use of their Account Information or any other breach of security with respect to the Juniper Sites or the Platform of which they become aware. Juniper will not be liable for any loss or damage arising from a Site User’s failure to provide us with accurate information or to keep their Account Information secure. Juniper may, at any time, revoke a Site User’s access to the Platform for any reason in its sole discretion, including, but not limited to, if Juniper believes that the Site User is in breach of these TOU.

Networking Services:  The following terms apply to the Site Users’ use of the Networking Services:

Terms for Providers.  Your use of the Platform is voluntary and can be terminated by either of us for any reason at any time with written notice. Any discussions you may have with Clients prior to termination will continue to be subject to these TOU. You acknowledge and agree that you will:

        • Ensure that all materials provided to Juniper meets the requirements for “Provider Content” as defined in Section 5(c).
        • Submit all Provider Content within seven (7) calendar days of signing up for a subscription-based Premium Service, and thereafter, before the eighth calendar day of each month, in order for such Provider Content to be uploaded to the Juniper Sites during such month. 
        • Be solely responsible for any and all compliance with marketing regulatory requirements in connection with its use of the Networking Services, including but not limited to:  the FTC Act, Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and FTC Guidance regarding Dot Com Disclosures. In the event of any claim or action alleging violation of any applicable legal or regulatory requirements arising out of or related to Provider’s use of the Networking Services, Provider agrees to defend, indemnify, and hold harmless Juniper and its Affiliates, and their respective officers, directors, employees, consultants, agents and suppliers from and against any and all claims, liabilities, damages, and/or costs (including, but not limited to, fees, costs and other expenses of attorneys and expert witnesses).
        • Obtain and maintain any and all applicable licenses or registrations required for you to perform the professional services you have advertised on the Platform.
        • Perform any professional services in a professional manner and in accordance with industry standards.
          Respond promptly to inquiries from Juniper with regard to the status of any discussions with, or services provided to, Clients.
        • Not use, store or disclose any information provided by Juniper for any purpose other than for you to engage with the Client in contemplation of providing professional services to Client.
        • Not assign or delegate (except to your personnel) any of your rights or obligations under these TOU.
        • Comply with any and all state and federal laws applicable to your services contemplated hereunder, including but not limited to, unfair competition, anti-discrimination, unfair and deceptive advertising, privacy and data retention, text messaging and spam.

Terms for Clients.  Your use of the Platform is voluntary and can be terminated by either of us for any reason at any time with written notice. Any discussions you may have with Providers prior to termination will continue to be subject to these TOU. Clients acknowledge and agree to the following:

      • You will initiate contact with the Providers directly and you will remain solely responsible for making a selection of a Provider and for determining whether the Provider you obtain through your use of the Platform is suitable for your purposes; in the event you select a Provider, you consent to being contacted by the Provider, i.e., by mail, phone, email or text message.
      • Neither the Juniper Sites nor Juniper will ever refer or recommend a specific Provider to you, nor will the Juniper Sites or Juniper initiate a connection between you and a Provider, nor engage a Provider to perform services for you.
      • Juniper does not make any warranty with respect to the skills or suitability of any Provider, or the terms of any agreement you may enter into with a Provider.
      • Juniper is not responsible or liable for any losses or damages you experience with any Providers you choose to rely upon or advertisements you choose to respond to. You must contact the Providers directly for any remedies that may be available to you.
      • Juniper may receive payment from a Provider for advertising its services on the Platform. There is no charge to you.
      • Certain States and jurisdictions have specific laws relating to professional services. You acknowledge that a Provider outside of your State or jurisdiction may not be aware of or able to comply with the applicable laws of the State in which you are located.

Provider Content:

Marketing Content.  Provider may have the opportunity to upload various forms of content to the Juniper Sites in connection with the Networking Services, which may include Providers’ contributions to discussions, marketing copy, commentary, opinions, pre-existing articles, and other information, data, text, sound, photographs, graphics, video, messages, tags, trademarks, logos, names, likeness, images, biography, or other materials in connection with their use of the Platform (“Marketing Content”). By submitting Marketing Content, Provider grants to Juniper a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display, prepare derivative works, and distribute such Marketing Content.

Licensed Content.  From time to time Juniper may request that Provider write an article or produce some other custom content for use by Juniper on the Platform (the “Licensed Content”). By submitting Licensed Content, Provider grants to Juniper a perpetual, irrevocable, worldwide, royalty-free, and exclusive license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display, prepare derivative works, and distribute such Licensed Content. Provider acknowledges and agrees that the Licensed Content is its own original work that is owned by Provider free and clear of any liens or claims of any third party, and that has not been published on any other website, forum, chat or social media network, and does not include any reprinted, duplicated or re-syndicated content. Plagiarism or copyright infringement is not permitted. When quoting others, all sources must be properly cited. Links to any third-party site must be relevant to the topic and approved in writing by Juniper. Provider may not publish Licensed Content anywhere online, in part or in whole, including on its own website or blog. If Juniper publishes Licensed Content, Provider may promote such Licensed Content only through the Juniper Site. Provider may not publish or promote such Licensed Content on its own website, or on any other social media account. Any such promotion must prominently include a link to the Licensed Content on the Juniper Site. No affiliate links may be included in any Licensed Content without the prior written approval of Juniper. The Juniper Site will acknowledge that Provider is the author of the Provider Content.

Provider Content.  Provider represents and warrants that it has obtained all third party consents, permissions and/or licenses necessary or required to grant the rights to the Marketing Content and the Licensed Content (collectively, the “Provider Content”) to Juniper hereunder.  Provider represents and warrants that it shall be solely responsible for the accuracy, quality, integrity and legality of the Provider Content submitted by them. Any images or videos that accompany Provider Content must meet the following requirements: (a) Provider must be the copyright holder of the image or video, or have license to the image or video subject to terms which allow us to publish the image or video in accordance with the terms of these TOU without royalty or restriction; (b) Juniper reserves the right to change, edit, or reject the image or video for any reason; (c) if people are depicted in the image or video, Provider must submit a written release, in a form reasonably acceptable to Juniper, allowing use of such individual’s likeness as contemplated by these TOU. Juniper reserves the right to edit Provider Content for content, length, formatting, search-engine optimization, and other editorial purposes. Juniper reserves the right to publish, decline publication of, or remove Provider Content in our sole discretion without prior notice to you, and regardless of whether you have canceled your Premium Service subscription. Provider agrees to indemnify and hold harmless Juniper and its affiliated entities, and their respective agents, employees and officers, against any third-party claim that the Provider Content or any part thereof infringes the intellectual property or proprietary rights of any third-party.

Content Disclaimer.  Visitors to Juniper Sites, including Site Users, acknowledge that: (i) Juniper may not pre-screen Provider Content and, as such, Juniper does not guarantee the accuracy, integrity, or quality of such Provider Content; (ii) you will evaluate, and bear all risks associated with, the use of any Provider Content, including any reliance on the accuracy, completeness, or usefulness of such Provider Content; (iii) you may be exposed to Provider Content that is indecent, offensive, or otherwise objectionable; and (iv) under no circumstances will Juniper be liable in any way for any Provider Content, including, but not limited to, any errors or omissions in any such Provider Content, or for any loss or damages of any kind incurred as a result of the use of any such Provider Content.

Objectionable Content.  If Juniper is made aware of Provider Content that may be: (i) libelous, obscene, excessively violent, scandalous, defamatory, or that Juniper determines in its sole discretion to be otherwise unacceptable, undesirable, or objectionable, (ii) a violation of any law, regulation, or rights of a third party, including, but not limited to, rights under the copyright law and prohibitions on libel, slander, and invasion of privacy, or (iii) holds Juniper, its affiliates or Third Party Content providers open to scorn or ridicule, Juniper has the right, but not the obligation, to remove or disable access to such Provider Content.

Third-Party Content, Links and Platform:  The Juniper Sites may display content or tools provided by third parties and Providers, links to third-party web pages, advertisements, and solicitations to purchase products or services (collectively “Third Party Content”). In consideration for the convenience of Juniper making Third Party Content available or accessible to you, you acknowledge that Juniper is not responsible for any such Third Party Content and Juniper makes no representations as to the completeness or accuracy of such Third Party Content. You also agree that Juniper is not responsible or liable for any losses or damages you experience with any Third Party Content you choose to rely upon or advertisements you respond to, and that you must contact the third party directly for any remedies that may be available to you.

Juniper Intellectual Property Rights:  Juniper, the Juniper logo, Divorce Squad, Divorce Squad Surround Yourself With Professionals You Can Trust, and related product and service names and logos (the “Marks”) are the trademarks of The Juniper Companies, LLC  or its licensors, in the United States, other countries, or both. Except for Provider Content and Third Party Content, the Juniper Sites, including any text, graphics, sounds, images, and software of Juniper (the “Site Materials”) are the intellectual property of Juniper, its licensors, affiliated companies, or other third parties. The Site Materials are protected by United States and foreign intellectual property laws. Except as stated herein, none of the Site Materials or Marks may be copied, reproduced, or distributed in any form without the prior written permission of Juniper.

Copyright Infringement and Copyright Agent:  Juniper will, in circumstances it deems appropriate, terminate a Site User’s right to participate in the Platform, and/or remove or disable access to Provider Content, Third Party Content, or Site Materials, if such items are claimed to infringe the intellectual property rights of a third party.

If you believe that your work has been used or copied in a way that constitutes copyright infringement and such infringement is occurring on any Juniper Site, please provide notice to the Juniper Copyright Agent and include the following information (“Notice”):

      • A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest that is alleged to have been infringed.
      • A description of the copyrighted work or works that you claim have been infringed and identification of what material in such work(s) is claimed to be infringing and which you request to be removed or access to which is to be disabled.
      • A description of where the material that you claim is infringing is located on a Juniper Site.
      • Information sufficient to permit Juniper to contact you, such as your physical address, telephone number, and email address.
      • A statement by you that you have a good faith belief that the use of the material identified in your Notice in the manner complained of is not authorized by the copyright owner, its agent, or the law.
      • A statement by you that the information in your Notice is accurate and, under penalty of perjury that you are the copyright owner or authorized to act on the copyright owner’s behalf.

YOU SHOULD CONTACT THE COPYRIGHT AGENT ONLY IF YOU BELIEVE THAT YOUR WORK HAS BEEN USED OR COPIED IN A WAY THAT CONSTITUTES COPYRIGHT INFRINGEMENT AND THAT SUCH INFRINGEMENT IS OCCURRING ON A JUNIPER SITE. THE COPYRIGHT AGENT WILL NOT RESPOND TO ANY OTHER INQUIRIES.

Site User Responsibilities and Conduct:
Site Users are responsible for obtaining access to the Platform, and that access may involve third-party fees (such as Internet service provider or airtime charges). Site Users are responsible for those fees. In addition, Site Users must provide and are responsible for all equipment necessary to access the Platform.
Site Users further agree: (i) not to  use, or attempt to use, the Platform to convey any information that may be considered unlawful, harassing, libelous, abusive, threatening, obscene, hateful, offensive, harmful, vulgar, distasteful, defamatory, libelous, or invasive of another person’s privacy or proprietary rights; and (ii) not to impersonate, or attempt to impersonate, any other individual, falsify contact information, misrepresent a relationship with any person or entity, including misrepresenting a relationship with Juniper, or otherwise attempt to mislead with respect to Site User’s identity.

Charges, Billing, Payment:
In order to register for a Juniper offering that requires payment of a fee (a “Premium Service”), you must provide Juniper with valid credit card information. Juniper may take commercially reasonable actions to validate your credit card information. When you sign up for a subscription-based Premium Service, the credit card account you provided will be charged a prorated amount for the current calendar month, if applicable, and thereafter on or before the first business day of each month on a recurring basis until you cancel the Premium Service. You agree that all Premium Service fees will be automatically charged each month to the credit card account you provide. Such charges will include any or all of the following:  (1) monthly subscription fee, in advance; (2) non-recurring fees that were incurred by the Site User in the previous month; and (3) any unpaid amounts due from previous months, including late payment fees and interest accrued, as applicable.  If Juniper does not receive payment from your card issuer, you agree to pay Juniper all amounts due immediately upon demand. Fees do not include, and Site User is responsible for, all sales, use and other applicable taxes. All prices are subject to change upon notice. Such notice may be provided by an e-mail message to the Site User, or in the form of an announcement on the Juniper Sites.

You must pay for all charges in full each month as set forth in this section. In the event of late payment, Juniper reserves the right to suspend the provision of the Platform to you and/or impose a late payment fee and/or charge interest on any amounts overdue. Such late payment fee will be the lesser of: (1) one and one-half percent (1.5%) of such overdue payment per every thirty (30) day period or portion thereof; or (2) the maximum amount permissible by applicable law. You agree to pay all attorneys’ and collection fees arising from efforts by Juniper to collect any past due amounts from you to the extent allowed by law.

Processing Funds:  All payment processing services for the Juniper Sites are provided by the third party payment platform, Stripe, and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these TOU, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of the Juniper Sites enabling payment processing services through Stripe, you agree to provide Juniper accurate and complete information about you and your business, and you authorize Juniper to share such information and transaction information related to your use of the payment processing services provided by Stripe.

You acknowledge and agree that Juniper shall not be liable for any payments or monetary transactions that occur through your use of the Juniper Sites. You acknowledge and agree that all payments and monetary transactions are handled by Stripe. You acknowledge and agree that Juniper shall not be liable for any issues regarding financial and monetary transactions between you and any other party, including Stripe. This includes transactions that were not processed due to a network communication error, or any other reason. If you process a transaction, it is your responsibility to verify that the transaction was successfully processed.

Refund and Cancellation Policy:  All charges for Premium Services are final and non-refundable.  No refunds or credits will be issued for partial periods of service, upgrade/downgrade refunds, or refunds for periods unused with an active subscription, including, but not limited to, instances involving the removal by Juniper of a Site User. A Premium Service subscription may be canceled on the “My Account” page of the Juniper Sites. There are no charges for canceling a Premium Service subscription, and Premium Service subscriptions cancelled at least 48 hours prior to the end of any calendar month will not be charged again in the following calendar month. The amount charged on the next billing cycle will be automatically updated to reflect any changes to the Premium Service subscription, including upgrades or downgrades. Subscription changes, including downgrades, may result in loss of access to content, features, or an increase or reduction in the other functionality provided by the Service.

Compliance with Laws:  By accessing or using the Juniper Sites or the Platform, you agree to comply with all laws, rules and regulations implemented by any government authority or agency which govern or apply to the use of the Juniper Sites and the Platform. Without limiting the generality of the foregoing, you expressly agree not to export or re-export any of the content contained in the Juniper Sites to countries or persons prohibited under the export control laws of the United States. Juniper makes no representation that the content on the Juniper Site is appropriate or available for use outside the United States. If you have chosen to access the Juniper Site from outside the United States, you do so at your own initiative and risk, and you are solely responsible for compliance with your local laws, if and to the extent, local laws are applicable.

Legal Disclaimers:  The Juniper Sites, the Platform and all information and content provided therein are for the convenience of visitors of the Juniper Sites and for customers and potential customers of Juniper and its product and service offerings. You acknowledge and agree that the Provider Content and Third Party Content include public contributions, that there are inherent limitations to the accuracy or currency of such information, and that such information may be incomplete, may contain inaccuracies, or may be based on opinion. JUNIPER DOES NOT ENDORSE ANY PROVIDERS NOR DOES JUNIPER SCREEN PROVIDER CONTENT OR THIRD PARTY CONTENT FOR ACCURACY OR TRUSTWORTHINESS. TO THE FULLEST EXTENT PERMITTED BY LAW, JUNIPER AND ITS AFFILIATES, AND LICENSORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE JUNIPER SITES, THE PLATFORM, OR AND INFORMATION AND CONTENT PROVIDED THEREIN. THE JUNIPER SITES, PLATFORM AND ASSOCIATED INFORMATION AND CONTENT ARE PROVIDED “AS IS,” WITH NO WARRANTY, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. JUNIPER DISCLAIMS ANY IMPLIED, EXPRESS, OR STATUTORY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE JUNIPER SITES OR THE PLATFORM. JUNIPER DOES NOT WARRANT THAT THE JUNIPER SITES OR PLATFORM WILL OPERATE ERROR-FREE OR THAT THE JUNIPER SITES OR THE PLATFORM ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. YOU UNDERSTAND AND AGREE THAT IF YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIAL OR DATA THROUGH THE USE OF THE JUNIPER SITES OR THE PLATFORM, YOU DO SO AT YOUR OWN DISCRETION AND RISK, AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL OR DATA. IF YOUR USE OF THE JUNIPER SITES, THE PLATFORM OR DOWNLOADED MATERIAL OR DATA RESULTS IN THE NEED FOR SERVICING OR REPLACEMENT OF EQUIPMENT OR DATA, JUNIPER IS NOT RESPONSIBLE FOR THOSE COSTS.

Some states or other jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. You may also have other rights that vary from state to state and from jurisdiction to jurisdiction.

LIMITATION OF LIABILITY:  UNDER NO CIRCUMSTANCES IS JUNIPER, ITS OFFICERS, DIRECTORS, AFFILIATES, SUBSIDIARIES, OR LICENSORS LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL, RELIANCE, CONSEQUENTIAL OR SPECIAL DAMAGES, WHETHER OR NOT FORESEEN, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) ON ACCOUNT OF YOUR USE, MISUSE, OR RELIANCE ON THE JUNIPER SITES, THE PLATFORM, PROVIDER CONTENT, THIRD PARTY CONTENT OR SITE MATERIALS. THIS LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM ANY CLAIM RELATING TO THESE TOU, THE AGREEMENTS OR POLICIES REFERENCED HEREIN, OR THE SUBJECT MATTER HEREOF, WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY EVEN IF JUNIPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The above limitation applies to your use, misuse, or reliance upon the Juniper Site, including, without limitation, damages you may incur because of third-party services or other services or goods received, such as third-party services or goods received by, advertised on, or linked to the Juniper Site.

Some states or other jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations and exclusions may not apply to you.

Indemnity:  You agree to defend, indemnify, and hold harmless Juniper and its Affiliates, Subsidiaries, and their respective officers, directors, employees, consultants, agents and suppliers from and against any and all claims, liabilities, damages, and/or costs (including, but not limited to, fees, costs and other expenses of attorneys and expert witnesses) arising out of or related to: (i) your use of the Juniper Sites or the Platform, (ii) any violation of these Terms of Use or applicable law by you in connection with your use of the Juniper Sites or the Platform, (iii) any actual or alleged infringement by you, or any person accessing the Juniper Sites or the Platform using your Account Information, of any intellectual property or privacy or other right of any third party, or (iv) any unauthorized use of the Platform utilizing your Account Information, whether or not known or authorized by you.

Governing Law; Arbitration:  Any controversy or claim arising out of or relating to these TOU and the agreements and policies referenced herein, or the breach thereof, shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without giving effect to its conflict of laws provisions, and shall be adjudicated by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.  The arbitrator(s) shall be experienced in and knowledgeable about legal issues related to eCommerce and software as a service. The place of arbitration shall be Boston, Massachusetts. Each party shall bear its own costs and expenses and an equal share of the arbitrators’ and administrative fees of arbitration. The award of the arbitrator(s) shall be accompanied by a reasoned opinion. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties.

Force Majeure:  Under no circumstances shall Juniper, its affiliates, subsidiaries, or licensors be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, loss of data, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air-conditioning.

Entire Agreement; Waiver; Severability; Assignment:  These TOU and the agreements and policies referenced herein constitute the entire agreement between you and Juniper with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any failure by Juniper to enforce a provision of these TOU is not a waiver of its right to do so later. If for any reason, any provision or portion of the TOU is found to be unenforceable, the remainder of the TOU will continue in full force and effect. You may not assign or delegate any rights or obligations hereunder. Juniper may assign and/or delegate all of its rights and/or duties at its sole discretion to any third party.
